"Unattended Housing" means a pole and cabinet used to house the Unit. The <br />"Unattended Housing", as well as the wiring, which connects the terminal block in the <br />unattended housing to the City traffic signal controller. <br /> <br />"Unit" means a photographic red light violation monitoring device consisting of a <br />camera, flash, central processing unit, signal controller interface and digital loop <br />detector capable of accurately measuring violations of red lights by motor vehicles and <br />such "Unit" records such violation information on a photograph of such vehicle. <br /> <br />"Violation" means any traffic violation in accordance to the terms of the State of <br />California Vehicle Code, Section 21455.5. <br /> <br />"Installed Approach" means a monitored set of lanes approaching an intersection in one <br />direction that include a pole and cabinet used to house the Unit. An installed approach <br />will also include vehicle detection loops and the wiring that connects the terminal block in <br />the housing to the City traffic controller. An installed approach may or may not have a <br />Unit installed. <br /> <br />2.0 WORK <br /> <br />2.1 Pursuant to the provisions of this Agreement, Contractor shall fully provide, <br />complete and deliver on time all the tasks, deliverables, goods, services, and other work <br />as set forth in Exhibit 1 (Statement of Work), defined therein as Contractor <br />responsibilities. <br /> <br />2.2 New Technology <br /> <br />In the event there are new developments in photo enforcement technology and the <br />transition process into new image capture and violation detection technologies as they <br />become proven systems and the Court accepts digital imagery, the City and Contractor <br />may negotiate changes in this Agreement. <br /> <br />3.0 PERSONNEL <br /> <br />3.1 Contractor shall be solely liable and responsible for providing to, or on behalf of, all <br />persons performing work pursuant to this Agreement, all employee compensation and <br />benefits. City shall have no liability or responsibility for the payment of any salaries, <br />wages, unemployment benefits, disability benefits, Federal, State, and local taxes, or <br />other compensation, benefits, or taxes, for any personnel provided by or on behalf of <br />Contractor. <br /> <br />3.2 Contractor understands and agrees that all persons performing work under this <br />Agreement are, for purposes of workers' compensation liability, the sole employees of <br />Contractor or its subcontractors or suppliers and not employees of City.
