AMENDMENT NO.2 TO AGREEMENT FOR SOFTWARE LICENSE, IMPLEMENTATION AND MAINTENANCE (PSD Software, LLC, dba HiperWeb) This Amendment No. 2 (the "Amendment No. 2") is entered into and effective as of -L L , 2020, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and PSD Software, LLC, doing business as "HiperWeb," a Georgia Limited Liability Company ("HiperVlieb") (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain Software License, Implementation, and Maintenance Agreement, dated as of August 5, 2016, (the "Original Agreement"). B. The Parties previously executed Amendment No. 1 to the Original Agreement ("Amendment No. 1 "), dated as of August 5, 2017. (the "Original Agreement", "Amendment No. 1" and "Amendment No. 2" are collectively known as the "Agreement") C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit "A", incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. HiperWeb will provide the additional services set forth in Exhibit "A", and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay HiperWeb a not -to -exceed amount of Eighty -Five Thousand Nine Hundred Sixty Dollars ($85,960) for the completion of all the services described in Exhibit "A", which sum will include all costs or expenses incurred by HiperWeb. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not -to -exceed amount of Two Hundred Seventy -Four Thousand Nine Hundred Dollars ($274,900). 3. HiperWeb will complete all work described in Exhibit "A" by August 5, 2021, provided that the City may grant extensions consistent with the extension provisions set forth In the Agreement. 4, The City Manager may amend the Agreement to extend it for two additional REV: 02-26-2020 PR ATTY/AGR.Amend.
