C. The Parties wish to continue their longstanding cooperation and collaboration on projects of mutual benefit and to continue making portions of the Parking Structure and the Parking Lot available to the City for public use subject to the terms and conditions set forth in this Agreement. NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS : 1 . Use of the Parking Structure and the Parking Lot. The parties agree that the Parking Structure and the Parking Lot may be used in accordance with this Agreement and terms and conditions contained in the attached Exhibit A, which is incorporated herein by reference . 2 . Term . The initial term of this Agreement will be fifteen ( 15) years commencing on , 2016 ("Initial Term"). At City's option , the Agreement may be extended for up to seven (7) periods of five (5) year each (each such five year period referred to herein as an "Option Period") by providing written notice to County of the City's intent to exercise its right to an Option Period no later than six months prior to the end of the Initial Term or the then-current Option Period , as the case may be . 3 . Termination . County and City shall each have the right to terminate this Agreement upon one (1 ) year's prior written notice to the other Party. Notwithstanding the foregoing , during the Initial Term , the City shall not have the right to terminate this Agreement without the written consent of the County. Notice of termination may be given immediately by either Party in the event of material breach of the Agreement by the other Party of this Agreement.
