Company's deposit account(s) at Bank and other finanaal institutions Company directs to <br /> provide data to Bank. Company may also manuaily populate data. Bank will not verify the <br /> accuracy of data from other financial institu�ons, customer-populated data or forecasting <br /> information. Forecasting information is not a guarantee of actual pertormance. If <br /> Company uses this Service to convert balances to a currency other than the cuRency in which <br /> the Account is denominated, the conversion rate used through the Service may differ from the <br /> conversion rate actually used when the funds are converted on a given Business Day. <br /> 8. Company's Representations and Warrantles. Company represents and wanants to Bank: <br /> 8.1. Company's governing body has duly authorized each Authorized Representative, <br /> regardiess of whether Company enrolls in Bank's self-administratlon option, Bank <br /> Administration or whether the individual is designated to act as Company Administrator, <br /> Administrator or User; and <br /> 8.2. Company wili preserve the confidentiality of the Log-On Credentials and immediately <br /> notify Bank if Company becomes aware or suspects that any Log-On Credential may <br /> have been compromised. <br /> 8. Company's Agreement to Indemnlfy Bank. Company will indemnify and hold Bank, its parent <br /> company, and its affiliates and each of their respective directors, officers, employees, and <br /> agents harmless from and against all losses, damages, claims, demands, charges, costs, or <br /> expenses (including reasonable fees and disbursements of legal counsel and accountants) <br /> awarded against or incurred or suffered by any of them arising directly or indirectly from or <br /> related to any material breach in a representation,warranty, covenant, or obligation of Company <br /> contained in this Service Description. <br /> 10. Survival.
