This insurance all times during the performance of <br />the Services and will not be canceled without Magical Bridge providing <br />thirty (30) days prior written notice to City sent pursuant to the Notice <br />provisions of this Agreement. <br />viii. Providing Certificates of Insurance and Endorsements. Prior to City’s <br />execution of this Agreement, Magical Bridge shall provide to City <br />certificates of insurance and above-referenced endorsements sufficient to <br />the satisfaction of City’s Risk Manager. In no event shall Magical Bridge <br />commence any work or provide any Services or receive any payments under <br />this Agreement until certificates of insurance and endorsements have been <br />accepted by City’s Risk Manager. <br />ix. Failure to Maintain Coverage. If Magical Bridge fails to comply with these <br />insurance requirements, then City will have the option to declare Magical <br />Bridge in breach, or may purchase replacement insurance or pay the <br />premiums that are due on existing policies in order to maintain the required <br />coverages. Magical Bridge is responsible for any payments made by City to <br />obtain or maintain insurance and City may collect these payments from <br />Magical Bridge or deduct the amount paid from any sums due Magical <br />Bridge under this Agreement. <br />x. Submission of Insurance Policies. City reserves the right to require, at any <br />time, complete copies of any or all required insurance policies and <br />endorsements. <br />B. City. City shall maintain (1) membership in the Bay Cities Joint Powers Insurance <br />Authority Pooled Liability Program at a level of coverage not less than six hundred <br />fifty thousand dollars ($650,000) per occurrence for bodily injury, personal injury, <br />property damage, official acts or omissions, or sudden and accidental pollution, <br />subject to certain exclusions described in the Memorandum of Coverage for the <br />2016-2017 Program Year; or (2) other insurance deemed appropriate by City’s Risk <br />Manager. <br />11. Maintenance of Records. Magical Bridge shall maintain complete and accurate records <br />with respect to costs incurred under this Agreement. All records shall be clearly <br />identifiable. Magical Bridge shall allow a representative of City during normal business <br />hours to examine, audit, and make transcripts or copies of records and any other documents <br />created pursuant to this Agreement. Magical Bridge shall allow inspection of all work, <br />data, documents, proceedings, and activities related to this Agreement for a period of three <br />(3) years from the date of final payment under this Agreement. <br /> <br />6.1.N. - Page 9
