Consultarrt has the neoessary experience in providing professional <br /> services end advice. <br /> C. Selection of Consultant Is expected bo achieve the desired results in an <br /> expedited fashion. <br /> D. Consultant has submitted a proposal to Ci#y and has affirmed its <br /> willingness and ability to pertorm such�nrork. <br /> NOW,THEREFORE, in considerafion of these recitals and the mutual covenants <br /> contafned herein, the Pa�ties agroe as follows: <br /> 1. �cooe of Work. City retains Consultant �o perforrn, and Consultant agrees to <br /> render, those services (the "Servioes") that are deftned in attached Exhibit"A,"which is <br /> incorporated herein by reference. In the event of a conflict between the provisions af <br /> Exhibit "A° and the terms of this Agreement, the terms of this Agreement shall prevail. <br /> City shall have the�ight to rnodify the scope of woric to delet�tasks in whole or in part. <br /> 2. Standard of Perfarmance. While pertorming the Services, Consultant will <br /> exercise the reasonable professional care snd skill customarily exercised by reputable <br /> members of Consultan#'s professian practicing in the urban Northem Catifomia Area, <br /> and will use reasonable diligence and best judgment while exercising its professianal <br /> �kill and expertlse. <br /> 3. Term. Unless ea�lier terminated, the fieRn of this Agreement will commence upon <br /> the date first above written and shall expirc upon completion of perfoRnance of Services <br /> hereundar by Consultan� <br /> 4. Schedule.
