7. Status of Consultant Consultant will pe�fortn the Services ss an independent contractor and not as an employee of City. The persons used by Consultant to provide services under this Agreement shall not be considered employees of City for any purposes. 8. Subcontractino. Conaultant wiil not subcontract any portion of the Servioes without prior written approval of City Manager or hia/har deslgnee. If Cansultant subcontracts any af the Scrvices, Consultant witl be fulty responsible to City for the acts and aniasior�s of ConsultanYs subcontrector and of the persons either directly or indirec:tly employed by the subcontractor, as Consultant is for th� acts and omissions of persons diroctly employed by Consultant Nothing containad in thia Agroement will create arry contractual rela�onship betw�een any subcontractor of Conaultant and City. Consultant will be nesponsible for psyment of subcontrectors. Consultant will bind every subcontractor and every subcontractor of a subcontrector by the terms of this Agr+eemer�t appitcable to Consultarrt's work unless specifically noted to the contrary in the subcontract and spproved in writing by City. 9. Other Consultants. City reservea the right to employ other cansultants in connection with the Senrioes. 10. �idemniflce�on. Consultant will defend, ind�mnify and hold harmless City and its offlcers, agents, employeea and volunteers from and agafnst all daims, damages, losses and expenses induding attomey fees arising out of the performanoe of th� Senrices, caused in whole or in part by the willful misc�ndud or any negtlgent act ar omiss�n of ihe Consultant,any subcontractor, anyone directly or indirectly employed by ariy of them or anyone for whose acts any of them may be liabie, except where caused by the sole negligence o�willful misconduct of City. The Parties expressly agree that any reasonable payment, attorney's fee, cast or expense City incurs or makes to or on behalf of an injured empioyee under the City's self-administered workers' compensation is induded as a loss, expense or cost for the purposes of this secdon. The parties expressly agree that thls section shall survive the expi�ation or early tertninat�n of the Agreement 11. Insurance. Consultant shall obtain and maintain for the duradon of the Agreement and any and ali amendments, insurance against daims for injuries to persons or damage to property which may arise out of or in connection with pe�Formance of the Serviaes by Consultant or ConsultanYs agen�� repr�senta�ves, � employeea or subcontrac�s. The insurancx canier ia requirod to maintain an A.M. Best rat�g of not less than"A:VII". 11.1 Coverages and Limits. Consulta�t, at its sole expense, shal! maintain the types of coverages and minimum limits indicated below, unless atherwise approved by City in writing.
