Except as otherwise stated, all notices to be provided or that may be provided under <br /> this Agreement must be in wridng and delivered by regular and cerafied mail. Conflict of Inberest. !f disctosure ttnder the Polit�cal RefoRn Act arxi City's <br /> Conflict of Interest Code is required af Consul#ant or any of Consultant`s employees, <br /> agents, or subcontractors, Consu{tant or Consultant's affected ernployees, agents, or <br /> subcontractors shall complete and file with the City Cterk those schedules specified by <br /> City and conta�ned in the Sta#ement of Economic Interests Form 700. <br /> Consultant, for Cansultant and on behalf of ConsultanYs agents, employees, <br /> subcontractors and consultants warrants that by execufiion of this Agreement, that they <br /> have no interost, present or conbemplated, in the projects affecfied by this Agreemen� <br /> Consuttant fu�#her warrents that neither Consultant, nor Consultant's ager�ts, <br /> empioyees, suboontractors and oonsultants have any ancillary real property, business <br /> interests or inoome that shafl be affected by this Agreement or, altema�vely� that <br /> Consultant shall file with City an afffdavit disclosing this inberest <br /> 18. General Com�liance with Laws. Consuitarrt will keep fully informed of federal, <br /> stafie and local laws and ordinanees and reguladona which in any manner affect those <br /> employed by Consultant, or in any way affect the performanoe of the Services by <br /> Censultant. Consultant will at all times observe and comply with these laws, <br /> ordinances, and regulations and will be responsible for the compliance of ConsultanYs <br /> Seniioes with all appficable laws, ordinances and regulations. <br /> 19. Discrimination an�l Harassment Prohibified. Consultant wi11 comply with all <br /> applicable local, state and federal laws and regulations prohibi�ng discrimina�on and <br /> harassment. <br /> 20. Termination. In the event of the ConsultanYs failure to prosecute. deliver, or <br /> perform the Services, City may terminate this Agreement for nonpetformance by <br /> notifying Consultant in writing pursuant to the notice p�ovisions of this Agreemen�. <br /> If City decides bo abandon or postpone the wotk or ssrvices contemplated by this <br /> f�reement� City may teRninate this Agreem�t upon written no�cx to Consultant <br /> pursuant ta the notice provisions of this Agreement. Termina�on wilf be effective <br /> immediafiely upon notification. <br /> Either Party upon tenderi�g thirty (30) days w�itten notice to the other party may <br /> �erminate this Agreement. <br /> 1Nithin 10 days of termination Consultant will assemble the work product without charge <br /> and put it in order for proper fll�g and closing and deliver it to Ci1�r. Consuttant will be <br /> paid for wark performed up tia the fiermination date; however, tlie total will not exceed <br /> the lump sum fee payable under this Agreement.
