ORIGINAL <br /> FIRST AMENDMENT <br /> TO THE <br /> COOPERATIVE AGREEMENT BETWEEN THE COUNTY OF SAN MATEO <br /> AND THE CITY OF REDWOOD CITY FOR PRESERVATION OF THE HISTORIC <br /> COUNTY COURTHOUSE BLOCK,REMOVAL OF THE SOUTH ANNEX, <br /> RECONSTRUCTION OF THE COURTHOUSE FACADE AND CREATION OF A <br /> COURTHOUSE PLAZA,AND GRANT OF EASEMENT AND LICENSE <br /> THIS FIRST AMENDMENT TO THE COOPERATIVE AGREEMENT is made and entered <br /> into this day of Pix,0•A.&"\-' 2006 (the"First Amendment"),by and between <br /> the County of San Mateo, a political subdivision of the State of California ("County"), and the <br /> City of Redwood City, a charter city and municipal corporation of the State of California <br /> ("City") (jointly, the "Parties"or individually, a"Party"). <br /> THIS FIRST AMENDMENT IS MADE IN LIGHT OF THE FOLLOWING FACTS: <br /> A. The Parties entered into a certain Cooperative Agreement(the"Cooperative Agreement") <br /> dated May 3, 2005, which Cooperative Agreement is recorded May 23, 2005 as <br /> Document number 2005-083802 in the records of the Recorder of the County of San <br /> Mateo. <br /> B. The Cooperative Agreement provides for the City to perform certain work on real <br /> property owned by the County, which work includes the creation of a public plaza in <br /> front of the historic County courthouse in Redwood City. The work of the City as <br /> described in the Cooperative Agreement is referred to as the"Project". <br /> C. The Cooperative Agreement includes a grant of an exclusive easement from the County <br /> to the City(the"Easement"). <br /> D. As described and provided for in the Cooperative Agreement, the Project does not <br /> include restrooms. <br /> E. In order to assist the City in its recent plans to provide restrooms in the downtown area, <br /> the County is willing and desires to cooperate with the City in its efforts to temporarily <br /> locate restrooms within the Courthouse Square area that is the subject of the Cooperative <br /> Agreement. <br /> F. The Parties desire to continue their longstanding history of cooperation and collaboration <br /> on projects of mutual benefit by entering into this First Amendment to the Cooperative <br /> Agreement. <br /> 2 <br />
