<br /> ARTICLE 2: RENT AND SECURITY <br /> 2.1 Rent. <br /> All costs and expenses which Tenant assumes or agrees to pay to Landlord <br /> under this Lease in addition to Base Rent shall be deemed Additional Rent Base Rent <br /> and Additional Rent are sometimes referred to collectively herein as the "Rent" The Rent <br /> shall be paid to the Building Manager or such other person and at such place as Landlord <br /> may from time to time designate in writing, without any prior demand therefor, in lawful <br /> money of the United States of America. Tenant expressly agrees that its remedies for <br /> Landlord's breach of its obligations hereunder shall be limited to those remedies s~t forth <br /> in Article 7 hereof and shall in no event include any right to withhold, delay, deduct, or <br /> offset the payment of Rent due under this lease. If it becomes unlawful for Tenant to <br /> reimburse Landlord for any costs as required under this Lease, the Base Rent shall be <br /> revised to net Landlord the same net Rent after imposition of any tax or other charge upon <br /> Landlord as would have been payable to Landlord but for the reimbursement being <br /> unlawful. <br /> 2.2 Base Rent. <br /> Tenant shall pay base rent according to the schedule of rents, Exhibit D <br /> hereto. The first full month's rent, which is for September, 2000, shall be paid on execution <br /> of this Lease. <br /> 2.2.1 Escalations in Base Rent. The amount of Base Rent payable <br /> hereunder shall increase and be payable according to the schedule of rents, Exhibit D <br /> hereto. <br /> 2.3 Additional Rent. <br /> In addition to the Base Rent and all other payments due under this Lease, <br /> Tenant shall pay to Landlord, in the manner set forth in this Article, an amount equal to <br /> Tenant's Pro Rata Share of Operating Expenses and Real Estate Taxes incurred by <br /> Landlord during each Adjustment Period in excess of the amount of Base Operating <br /> Expenses and Base Real Estate Taxes. Tenant's Pro Rata Share of such increase in <br /> Operating Expenses and Real Estate Taxes over the Base Operating Expenses and Base <br /> Real Estate Taxes is referred to collectively herein as the "Rental Adjustment" <br /> 2.3.1 Base Operating Expenses.
