<br /> CONSENT TO SUBLEASE <br /> '-¡-th -p <br /> THIS AGREEMENT ("Agreement") is made this ~ day of <br /> A~~ ,2004, by and among Provident Credit Union ("Landlord"), PVG <br /> Management, Inc., a California corporation ("Sublessor"), and City of Redwood City, a <br /> Charter City and Municipal Corporation of the State of California <br /> ("Subtenant"). <br /> RECITALS <br /> A. Landlord is the landlord and Sublessor is the tenant under a lease dated <br /> June 29, 2004 (the "Prime Lease"), for approximately 1,018 square feet of rentable <br /> space (the "Premises"), located on the 4th floor of the office building whose address is <br /> 303 Twin Dolphin Drive, Redwood City, California, <br /> B. Sublessor has requested that Landlord consent to the subletting by <br /> Sublessor to Subtenant of the Premises (hereinafter the "Sublet Premises"), pursuant to <br /> a Sublease dated July 27,2004, being 1,018 rentable square feet on the 4th floor of the <br /> said building, said Sublease is attached hereto as Exhibit A. <br /> NOW, THEREFORE, in consideration of the foregoing recitals and the mutual <br /> covenants contained herein, Landlord, Sublessor and Subtenant hereby agree as <br /> follows: <br /> 1. Nothing contained in this Agreement shall either: <br /> a. operate as a consent to or approval or <br /> ratification by Landlord of any specific provisions of the <br /> Sublease or as a representation or warranty by Landlord, or <br /> cause Landlord to be estopped or bound in any way by any <br /> of the provisions of the Sublease, or <br /> CONSENT TO SUBLEASE <br /> ì TO' '1- -.. <br />
