<br /> going concern, provided that (i) the assignee or sublessee assumes, in full, the obligations <br /> of Tenant under this lease, (ii) Tenant remains fully liable under this lease, (iii) the use of <br /> the Premises under Article 1.3 remains unchanged, and (iv) landlord shall have received <br /> and executed copy of the assignment or sublease on or before its effective date. <br /> 4.2.3 No Waiver or Release. No subletting or assignment shall release <br /> Tenant of its obligations under this lease or alter the primary liability of Tenant to pay the <br /> Rent and to perform all other obligations to be performed by Tenant hereunder. The <br /> acceptance of Rent by landlord from any other person shall not be deemed to be a waiver <br /> of Landlord of any provision hereof. Consent to one assignment or subletting shall not be <br /> deemed consent to any subsequent assignment or subletting. In the event of default of <br /> an assignee or subtenant of Tenant or any successor of Tenant in the performance of any <br /> of the terms hereof, landlord may proceed directly against Tenant without the necessity <br /> of exhausting remedies against such assignee, subtenant, or successor. landlord may <br /> consent to subsequent assignments of the Lease or sublettings or amendments or <br /> modifications to the lease with assignees of Tenant without notifying Tenant. or any <br /> successor Tenant. and without obtaining its or their consent thereto, and any such actions <br /> shall not relieve Tenant of liability under this lease. <br /> 4.2.4 Administrative Fee. If Tenant assigns the lease or sublets the <br /> Premises or requests the consent of landlord to any assignment or subletting, Tenant <br /> shall. upon demand, pay landlord an administrative fee of Five Hundred Dollars ($~OO.OO). <br /> plus any attorneys' fees reasonably incurred by landlord in connection with such act or <br /> request. <br /> 4.3 Hazardous Materials. <br /> Tenant shall not transport, use. store, maintain, generate. manufacture, <br /> handle, dispose, release, or discharge any "Hazardous Material" (as defined below) upon <br /> or about the Property, nor permit Tenant's employees, agents, contractors. and other <br /> occupants of the premises to engage in such activities upon or about the Property. <br /> However. the foregoing provisions shall not prohibit the transportation to and from. and <br /> use, storage, maintenance, and handling within, the premises of substances customarily <br /> used in offices. provided: (a) such substances shall be used and maintained only in such <br /> quantities as are reasonably necessary for such permitted use of the Premises, stri,ctly in <br /> accordance with applicable laws and the manufacturers' instructions therefor; (b) such <br /> substances shall not be disposed of, released. or discharged on the Property and shall be <br /> 23 <br /> ,- - -- ..-- <br /> T T' 1 .., <br />
