<br /> and hold Tenant harmless shall be in proportion to Landlord's allocable share of the joint <br /> negligence or willful misconduct. <br /> 5.10 Release of Claims. <br /> Notwithstanding anything to the contrary in Sections 5.8 and 5.9, the Parties <br /> release each other from any claims either party ("Injured Party") has against the other, but <br /> only to the extent the claim or liability is covered by the Injured Party's insurance or the <br /> insurance the Injured Party is required to carry under this Article 5, whichever is greater. <br /> 5.11 Limitation Liability Upon Transfer. <br /> In case landlord or any successor owner of the Property or the Building 'shall <br /> conveyor otherwise dispose of any portion thereof to another person or entity ("Person") <br /> (and nothing herein shall be construed to restrict or prevent such conveyance or <br /> disposition), such other person shall thereupon be and become landlord hereunder and <br /> shall be deemed to have fully assumed and be liable for all obligations of this lease to be <br /> performed by landlord which first arise after the date of conveyance, including the return <br /> of any Security Deposit; and Tenant shall attorn to such other Person, and Landlord or <br /> . such successor owner shall, from and after the date of conveyance, be free of all liabilities <br /> an obligations hereunder not then incurred, provided the successor owner shall have <br /> assumed such obligations, in writing. <br /> 5.12 Limitations on Landlord's Liability. <br /> The liability of Landlord to Tenant for any default by landlord under this <br /> Lease or arising in connection herewith or with landlord's operation, management, leasing, <br /> repair, renovation, alteration, or any other matter relating to the Property or the Premises, <br /> shall be limited to the interest of landlord in the Property (and the proceeds thereof). <br /> Under no circumstances shall Landlord ever be liable for consequential or punitive <br /> damages, including, without limitation, damages for lost profits or for business interruption. <br /> Tenant agrees to look solely to Landlord's interest in the Property (and the proceeds <br /> thereof) for the recovery of any judgment against Landlord, and Landlord shall not be <br /> personally liable for any such judgment or deficiency after execution thereon. The <br /> limitations of liability contained in this Article shall apply equally and inure to the benefit of <br /> Landlord's present and future partners, beneficiaries, officers, directors, trustees, <br /> shareholders, agents, and employees, and their respective partners, heirs, successors, <br /> and assigns.
