4. Neither the Sublease nor this Consent thereto shall release or discharge the Sublessor from any liability under the Master Lease. Sublessor shall remain liable and responsible for the full performance and observance of all the provisions, covenants and conditions set forth in the Master Lease to be performed and observed by Sublessor. Any breach or violation of any provision of the Master Lease by Subtenant shall constitute a default by Sublessor in fulfilling such provisions. 5. This Consent by Landlord shall not be construed as a consent by landlord to any further subletting by Sublessor or Subtenant or to any assignment by Sublessor of the Master Lease or assignment by Subtenant of the Sublease, whether or not the Sublease purports to permit the same and, without limiting the generality of the foregoing, both Sublessor and Subtenant agree that Subtenant has no right whatsoever to assign, mortgage or encumber the Sublease, not to sublet any portion of the Sublet Premises, or permit any portion of the Sublet Premises to be used or occupied by any other party; further, in connection herewith, both Sublessor and Subtenant agree that an assignment by operation of law or a transfer of control of Subtenant, including but not limited to, transfer of the controlling interest of the stock of Subtenant, if Subtenant is a corporation) shall be deemed to be a prohibited assignment hereunder. This Consent may not be construed as a consent by Landlord to any modification, amendment, extension or renewal of the Sublease without Landlord's prior written consent. 6. While any "Event of Default" by Sublessor under the provisions of the Master Lease remains outstanding and uncured, the rent due from Subtenant under the Sublease shall be deemed assigned to Landlord and Landlord shall have the right, at any time during the continuation of such "Event of Default", at its option, to give notice to Subtenant of such assignment.
