<br /> 4. Neither the Sublease nor this Consent thereto shall release or <br /> discharge the Sublessor from any liability under the Master Lease. Sublessor shall <br /> remain liable and responsible for the full performance and observance of all the <br /> provisions, covenants and conditions set forth in the Master Lease to be performed and <br /> observed by Sublessor. Any breach or violation of any provision of the Master Lease by <br /> Subtenant shall constitute a default by Sublessor in fulfilling such provisions. <br /> 5. This Consent by Landlord shall not be construed as a consent by <br /> landlord to any further subletting by Sublessor or Subtenant or to any assignment by <br /> Sublessor of the Master Lease or assignment by Subtenant of the Sublease, whether or <br /> not the Sublease purports to permit the same and, without limiting the generality of the <br /> foregoing, both Sublessor and Subtenant agree that Subtenant has no right whatsoever <br /> to assign, mortgage or encumber the Sublease, not to sublet any portion of the Sublet <br /> Premises, or permit any portion of the Sublet Premises to be used or occupied by any <br /> other party; further, in connection herewith, both Sublessor and Subtenant agree that an <br /> assignment by operation of law or a transfer of control of Subtenant, including but not <br /> limited to, transfer of the controlling interest of the stock of Subtenant, if Subtenant is a <br /> corporation) shall be deemed to be a prohibited assignment hereunder. This Consent <br /> may <br /> not be construed as a consent by Landlord to any modification, amendment, extension <br /> or renewal of the Sublease without Landlord's prior written consent. <br /> 6. While any "Event of Default" by Sublessor under the provisions of <br /> the Master Lease remains outstanding and uncured, the rent due from Subtenant under <br /> the Sublease shall be deemed assigned to Landlord and Landlord shall have the right, <br /> at any time during the continuation of such "Event of Default", at its option, to give <br /> notice to Subtenant of such assignment.
