1 q <br /> CONSULTANT SERVICES AND LICENSE AGREEMENT <br /> BETWEEN <br /> THE CITY OF REDWOOD CITY AND THE MAGICAL BRIDGE FOUNDATION TO <br /> BUILD A MAGICAL BRIDGE PLAYGROUND IN REDWOOD CITY <br /> This Consultant Services and License Agreement ("Agreement") is made and entered into <br /> as of t: ; t I I , 2016 (the "Effective Date") by and between the City of Redwood City <br /> ("City"), a California municipal corporation, and the UnaMesa Association, a California 501 (c)(3) <br /> corporation ("Magical Bridge"). Magical Bridge and City are individually referred to in this <br /> Agreement as a "Party" and collectively as "Parties." <br /> A. WHEREAS, Magical Bridge Foundation, a project of UnaMesa Association, has <br /> created a design and community engagement process for developing inclusive playgrounds <br /> in which children of all abilities can play, that promote well-being by increasing <br /> meaningful connections in the community, increasing inclusivity and empathy among <br /> children of all abilities, and creating a sense of ownership and engagement in the <br /> community that complements and strengthens existing programs and the investments <br /> communities are already making to provide therapies and services for children with special <br /> needs; and <br /> B. WHEREAS, City owns and manages a community playground at Red Morton <br /> Community Park in the City (the "Red Morton Playground"); and <br /> C. WHEREAS, City desires to use certain of Magical Bridge's proprietary processes <br /> and designs to renovate the Red Morton Playground and to retain Magical Bridge's <br /> assistance throughout the design and construction process to create a hub for play in the <br /> community that increases the opportunities for and amount of play for all families, in <br /> particular for those with special needs who have less opportunities for play in community <br /> playgrounds ("Project"); and <br /> D. WHEREAS, City will require an estimated three million three hundred thousand <br /> dollars ($3,300,000) to design and construct the Project (the "Total Funding Goal"); and <br /> E WHEREAS, City has allocated one million five hundred thousand dollars <br /> ($ 1 ,500,000), and secured a pledge of six hundred thousand dollars ($600,000) from <br /> Sequoia Health Care District, subject to board approval, for the Project for a total <br /> allocation/pledge of two million one hundred thousand dollars ($2, 100,000) (collectively <br /> the "City/Sequoia Contribution"); and <br /> F. WHEREAS, City desires to partner with Magical Bridge to raise the remaining <br /> one million two hundred thousand dollars ($ 1 ,200,000) necessary to reach the Total <br /> Funding Goal from significant entity and individual donors ("Community Donation"); <br /> and <br /> G. WHEREAS, City desires Magical Bridge to advise City on designing and <br /> implementing a TV, print media, and social media campaign to co-market and build <br /> ATTY/AGR/2016.252/MAGICAL BRIDGE PLAYGROUND <br /> REV: 09-08-16 MK <br /> Page 1 of 23 <br />
