Exhibit B <br /> Police Substation Lease Terms and Conditions <br /> 1. POLICE SUBSTATION. This Exhibit B to the Fox Theatre Agreement ("Agreement") <br /> sets forth the terms and conditions of the lease by Fox to the City of the Premises (as <br /> defined below.) Capitalized terms not otherwise defined in this Exhibit B shall have the <br /> meaning given to them in the Agreement. For the sake of Clarity, the terms, conditions, <br /> and definitions set forth in Exhibit A to the Agreement shall not control the terms, <br /> conditions, or definitions set forth in this Exhibit B. <br /> 2. PREMISES. <br /> 2. 1 . Premises. Fox is in possession of certain property located at 2223 Broadway Street, <br /> Redwood City, California, legally described on Appendix A attached hereto and <br /> incorporated herein by reference ("Property"). The defined term "Property" includes the <br /> Building, the Common Area, the Premises, and the Improvements (each as defined <br /> below). The building itself is identified as "Building" on Appendix B attached hereto and <br /> incorporated herein by reference and hereinafter referred to as the "Building." Fox hereby <br /> leases to City, and City leases from Fox, a portion of the Building, the general location <br /> and layout of which is shown on Appendix B, attached hereto and incorporated herein by <br /> reference ("Premises"). The Common Area defined in Section 2.2 below is not part of <br /> the Premises. <br /> 2.2. Common Area. City may, on a non-exclusive basis, use those areas exterior and <br /> interior to the Building designated by Fox from time to time for the common use of Fox <br /> and City, including but not limited to common corridors, hallways, restrooms, lobbies, <br /> telephone areas, utility or telephone rooms, parking, sidewalks and other public areas <br /> ("Common Area"). The Common Area does not include space within City's Premises. <br /> 2.3. Fox's Reserved Rights. Fox reserves the right to enter the Premises upon <br /> reasonable notice to City (except that advance notice shall not be required in case of an <br /> emergency) for the following purposes: (i) to inspect the condition of the Premises; (ii) to <br /> respond to an emergency at the Premises; (iii) to maintain, inspect and repair the Premises <br /> to the extent required or permitted under this Agreement; and (iv) to perform any other <br /> right or duty of Fox under this Agreement. <br /> 3. RENT. <br /> During the Initial Term of this Agreement, City will occupy the Premises at no cost. If and when <br /> the Parties agree to any Extension Term, the Parties will agree to payment terms (if any), which <br /> terms shall be included in any written extension agreement. <br /> 4. UTILITIES. <br /> Fox shall be responsible for providing water, gas, sewer, electricity, refuse, sewage, garbage, pest <br /> control services, and such other utilities consumed or provided in, furnished to or attributable to <br /> the Premises and the Common Areas, except for telephone, intend and janitorial services.
