REV: 05-03-23 VR FIRST AMENDMENT TO FOX THEATRE AGREEMENT This First Amendment to Fox Theatre Agreement (“Amendment”) is made and entered into as of __________________, 2023, (“Effective Date”) by and among Fox Theater Property LLC, a California Limited Liability Company (“Fox”), and the City of Redwood City, a charter city and municipal corporation (“City”). RECITALS WHEREAS, the City, Fox, and Golden Fox Venues, Incorporated, a California Corporation (“GFV”) entered into that certain Fox Theatre Agreement dated October 10, 2016 (“Agreement”) providing for the use of the Fox Theatre Auditorium and Policy Substation Lease; and WHEREAS, the Agreement was entered into with reference to that certain Disposition and Development Agreement by and between City and Hamilton & Winslow Properties, LLC (an entity affiliated with Fox and GFV), dated as of September 3, 2015 (“DDA”); and WHEREAS, the City, Fox, and GFV agreed to the terms of the Agreement and acknowledged that the rights provided to City thereunder were provided as consideration for City’s entry into the DDA; and WHEREAS, GFV no longer leases the Fox Theatre from Fox; and WHEREAS, the Initial Term of the Agreement was set to expire on September 30, 2019 (“Expiration Date”), unless extended by the parties; and WHEREAS, due to unforeseen circumstances relating to the COVID-19 pandemic, the parties failed to extend the Initial Term in writing; and WHEREAS, the City and Fox now desire to negotiate and reach agreement on the extension; and WHEREAS, the City and Fox believe it is in the best interest of both parties to provide extend the term of the Agreement beyond the Initial Term; and WHEREAS, the City and Fox desire to extend the Agreement through May 5, 2023, as more fully set forth herein. AGREEMENT Now therefore, the Participating Agencies, for and in consideration of the mutual benefits, covenants and agreements set forth herein, agree as follows: 1. Recitals; Capitalized Terms. The foregoing recitals are incorporated by reference into this Amendment. Capitalized terms used herein and not otherwise defined shall have the meanings given to such terms in the Agreement.
