6.3.C. - Page 34 <br /> good faith are incurred or suffered by the Escrow Agent in connection with or arising out <br /> of this Agreement. Except for charges and expenses of Escrow Agent incurred as <br /> contemplated in Section 7 below, which charges and expenses shall be borne by the non- <br /> prevailing party, the charges and expenses of Escrow Agent shall be payable by Butler <br /> at Closing. <br /> 7. Costs and Attorneys' Fees. If any legal action or proceeding is brought for <br /> the enforcement of this Agreement, the successful or prevailing party shall be entitled to <br /> recover reasonable attorneys' fees and other costs incurred in that action or proceeding <br /> (together with costs of enforcing any judgments or rulings), in addition to any other relief <br /> to which it may be entitled. <br /> 8. Further Assurances. Butler and City agree to execute such further <br /> instructions to Escrow Agent and such other instruments as may be reasonably <br /> necessary to carry out the provisions of this Agreement. <br /> 9. Counterparts. This Agreement may be executed in faxed or similar <br /> electronic counterparts, each of which shall be deemed an original, but all of which shall <br /> constitute one and the same instrument. <br /> 10. No Assignment. Neither party may assign this Agreement without the prior <br /> written consent of the other party and any such prohibited assignment shall be void. <br /> 11. Capitalized Terms.
