ORIGINAL <br />FOURTH AMENDMENT TO AGREEMENT FOR RELOCATION ASSISTANCE <br />CONSULTANT SERVICES <br />This Fourth Amendment is entered into and effective as of theday of <br />a f , 2019, amending the agreement dated August 10, 2016 (the <br />"Agreement") by and between the City of Redwood City, a charter city and municipal <br />corporation ("City"), and Overland, Pacific & Cutler, LLC, a Delaware limited liability <br />company, ("Consultant") (collectively, the "Parties") for relocation assistance consultant <br />services. <br />RECITALS <br />A. On August 10, 2016, the Parties executed the Agreement for Relocation <br />Assistance Consultant Services ("the Original Agreement"); and <br />B. On July 21, 2017, the Parties executed the First Amendment to Agreement for <br />Relocation Assistance Consultant Services ("the First Amendment"); and <br />C. On January 10, 2018, the Parties executed the Second Amendment to <br />Agreement for Relocation Assistance Consultant Services ("the Second Amendment"); <br />and <br />D. On October 8, 2018, the Parties executed the Third Amendment to <br />Agreement for Relocation Assistance Consultant Services ("the Third Amendment") (the <br />Original Agreement, the First Amendment, the Second Amendment, and the Third <br />Amendment are collectively referred to as the "Agreement"); and <br />E. The Parties have negotiated and agreed to an updated task schedule. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide those services described in <br />Exhibit "A." <br />2. City will pay Consultant for all work associated with providing continued <br />services an amount not to exceed Fifteen Thousand Dollars ($15,000.00), for an <br />aggregate amount of ($436,156.00). Consultant will provide City, on a monthly basis, <br />copies of invoices sufficiently detailed to include hours performed, hourly rates, and <br />related activities and costs for approval by City. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant <br />to the Agreement will include coverage for this Amendment. <br />5.
