8.1.B. - Page 3 <br /> AMENDMENT NO, 3 TO EXTEND AND AMEND AGREEMENT FOR <br /> PROFESSIONAL SERVICES <br /> (Moore, lacofano, Goltsman, Inc) <br /> This Amendment No. 3 is entered into and effective as of the day of <br /> , 2016, extending and amending the agreement dated <br /> February 14, 2013 (the "Agreement") by and between the City of Redwood City, a <br /> charter city and municipal corporation of the State of California ("City"), and Moore, <br /> lacofano, Goltsman, Inc., ("Consultant") (collectively, the "Parties") for ongoing services <br /> on an on-call basis to evaluate whether individual project applications are within the <br /> scope of the Redwood City Downtown Precise Plan Environmental Impact Report. <br /> RECITALS <br /> A. On February 14, 2013, the Parties executed Agreement for Professional <br /> Services; and <br /> B. On December 15, 2014, the Parties executed Amendment No. 1 to Extend <br /> and Amend Agreement for Professional Services; and <br /> C. On October 30, 2015, the Parties executed Amendment No. 2 to Extend <br /> and Amend Agreement for Professional Services; and <br /> D. The Parties have negotiated and agreed to amendments attached to and <br /> incorporated in by reference as Exhibit "A," Scope of Services and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, as may have <br /> been amended from time to time, Consultant will provide those services described in <br /> Exhibit "A." With this Amendment, the total Agreement amount shall not exceed Four <br /> Hundred Thousand Dollars ($400,000). <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed One Hundred <br /> Thousand Dollars ($100,000), for an aggregate amount of $400,000. Consultant will <br /> provide City, on a monthly basis, copies of invoices sufficiently detailed to include hours <br /> performed, hourly rates, and related activities and costs for approval by City. <br /> 3. Consultant will complete all work described in Exhibit "A". <br /> 4.
