good faith are incurred or suffered by the Escrow Agent in connection with or arising out <br />of this Agreement. Except for charges and expenses of Escrow Agent incurred as <br />contemplated in Section 7 below, which charges and expenses shall be borne by the non - <br />prevailing party, the charges and expenses of Escrow Agent shall be payable by Butler <br />at Closing. <br />7. Costs and Attornevs' Fees. If any legal action or proceeding is brought for <br />the enforcement of this Agreement, the successful or prevailing party shall be entitled to <br />recover reasonable attorneys' fees and other costs incurred in that action or proceeding <br />(together with costs of enforcing any judgments or rulings), in addition to any other relief <br />to which it may be entitled. <br />8. Further Assurances. Butler and City agree to execute such further <br />instructions to Escrow Agent and such other instruments as may be reasonably <br />necessary to carry out the provisions of this Agreement. <br />9. Counterparts. This Agreement may be executed in faxed or similar <br />electronic counterparts, each of which shall be deemed an original, but all of which shall <br />constitute one and the same instrument. <br />10. No Assionment. Neither party may assign this Agreement without the prior <br />written consent of the other party and any such prohibited assignment shall be void. <br />11. Capitalized Terms.
