REV: 09-30-21 RL RLCONFIDENTIAL │ Page 1 of 3 FIRST RENEWAL OF THE ADVANCED METERING INFRASTRUCTURE AGREEMENT (“First Renewal”) This First Renewal is made this 25 day of October 2021 (“Effective Date”), by and between Sensus USA Inc., a corporation of the State of Delaware with offices at 637 Davis Drive, Morrisville, North Carolina 27560 (“Sensus”), and Redwood City, a Charter City and Municipal Corporation formed in the State of California, (“Customer”). WHEREAS, Sensus and Customer entered into an Advanced Metering Infrastructure Agreement on October 25, 2016 (“Agreement”); and WHEREAS, the parties desire to renew the Agreement according to the Term and Conditions of this First Renewal; and NOW THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth in this First Renewal, the parties hereto mutually covenant and agree to amend the Agreement as follows: 1.Defined Terms. Any terms used in this First Renewal as defined terms, and which are not defined herein, shall have the meanings given to those term in the Agreement. 2.Term. The parties hereby agree to renew the Agreement for an additional five years from the end of the Initial Term. 3.Pricing. Customer will pay Sensus a flat-rate amount of One Hundred Fifty-Four Thousand Seven Hundred Fifty-Seven Dollars and Fifty Cents ($154,757.50) for the completion of all the services described in Exhibit C, which sum will include all costs or expenses incurred by Sensus. The total amount payable under the Agreement, which now includes the First Renewal, will be a flat-rate amount of Three Hundred Nineteen Thousand Seven Hundred Fifty-Eight Dollars and Seventy-Three Cents ($319,758.73). The attached Exhibit C is added to Exhibit C in the Agreement. For clarity and avoidance of doubt, the payment terms found within Exhibit C of the Agreement remain unchanged therein and continue to be applicable between the parties. 4.Insurance. All requisite insurance policies to be maintained by Sensus pursuant to the Agreement will include coverage for this First Renewal. 5.Entire Agreement. The Agreement, as amended by this First Renewal, constitutes and contains the entire understanding and agreement of the parties. To the extent that the provisions of this First Renewal are inconsistent with the Agreement, the terms of this First Renewal shall control. Except as expressly amended or modified in this First Renewal, all other terms and conditions of the Agreement shall remain in full force and effect and this First Renewal shall be binding upon the parties. 6.Electronic Signature. If Customer and Sensus agree, electronic signatures may be used in place of original signatures on this First Renewal. Customer and Sensus intend to be bound by the signatures on the electronic document, are aware that the other will rely on the electronic signatures, and hereby waive any defenses to the enforcement of the terms of this First Renewal based on the use of an electronic signature.
