ORIGINAL AMENDMENT NO. 2 TO EXTEND AND AMEND AGREEMENT FOR GENERAL SERVICES Valley Oil Company This Ame dment No. 2 is entered into and effective as of the (-q day of � , 2018, extending and amending the agreement dated Octobe 7, 2016 (the 'Agreement") by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Valley Oil Company, ("Contractor") (collectively, the "Parties") for gasoline, diesel, and delivery services. RECITALS A. Effective October 27, 2016, the Parties executed a General Services Agreement (Valley Oil Company) for services, materials or both consisting of Unleaded and Red -Dyed Diesel Fuel to be delivered to designated City facilities such as the corporation yard, fire stations, police department and parks yard and as more specifically identified in Exhibit A (Scope of Work) of the Agreement and in amount not to exceed $700,000 and at rates set forth in Exhibit B (Payment Terms); and B. Further, the Agreement specified in Section 3 (Term of Performance) that the Agreement shall be effective for the Term of one (1) year from the Effective Date, that the "City Manager may amend the Agreement to extend it for additional periods up to no more than two (2) years in a total contract amount not to exceed $2,100,000, and that such extensions "will be based upon a satisfactory review of Contractor's performance, City needs, and appropriation of funds by the City,' and that in such case "the parties will prepare a written amendment indicating the effective date and length of the extended Agreement. C. Effective October 26, 2017, the parties executed Amendment No. 1 to Extend and Amend Agreement for General Services (Valley Oil Company) in which City agreed to pay Contractor to continue its service at the same rate of pay in an amount not to exceed $700,000 for an aggregate amount of $1,400,000. D. The Parties have negotiated and agreed to amend the Agreement to extend the same services for an additional year at the same rates and within the aggregate amount set forth in the Agreement. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In addition to those services contained in the Agreement, as may have been amended from time to time, Contractor will provide those services described in Exhibit "A."
