D. Incorporation of Provisions <br /> Contractor shall include the provisions of Paragraphs A through C of this section <br /> in every subcontract, including procurement of materials and leases of equipment, <br /> unless exempt by law, order, or instructions issued pursuant thereto. Contractor <br /> shall take such action with respect to any subcontract or procurement as the City <br /> may direct as a means of enforcing such provisions including sanctions for <br /> noncompliance. <br /> SECTION 21 . INDEMNIFICATION <br /> Contractor will defend , indemnify and hold harmless City and its officers, agents, <br /> employees and volunteers from and against all claims, damages, losses and <br /> expenses including attorney fees arising out of the performance of the Services or <br /> caused in whole or in part by the willful misconduct or any negligent act or omission <br /> of the Contractor, any subcontractor, anyone directly or indirectly employed by any <br /> of them or anyone for whose acts any of them may be liable, except where caused <br /> by the sole negligence or willful misconduct of City. Accordingly, Contractor shall <br /> provide and pay for commercial general liability insurance and Garage Keeper's <br /> Legal Liability Insurance and statutory coverage for workers' compensation <br /> insurance as set forth in Section 22 . The indemnities provided herein shall survive <br /> the expiration or termination of this Agreement. Contractor shall provide to City a <br /> Certificate of Insurance , which shall name City as an additional insured but only to <br /> the extent that same are indemnified pursuant to Section 21 hereof. <br /> The Parties expressly agree that any reasonable payment, attorney's fee, cost or <br /> expense City incurs or makes to or on behalf of an injured employee under the <br /> City's self-administered workers' compensation is included as a loss, expense or <br /> cost for the purposes of this section . <br /> SECTION 22. INSURANCE <br /> A. Policies <br /> Contractor shall obtain and maintain for the full term of this Agreement at least all <br /> of the following minimum insurance requirements prior to commencing any work <br /> or receiving payments therefore under this Agreement: <br /> 1 . Commercial Crime Policy <br /> a . A crime policy, with a minimum limit of not less than $250, 000, <br /> providing at least the following minimum coverage: <br /> a .
