ORIGINAL <br />AGREEMENT FOR PROFESSIONAL SERVICES <br />Redwood City Recycled Water Project <br />(Data Instincts) <br />THIS AGREEMENT is m de and entered into as of the ~~~ day of <br />200~,~y a~n'd between the CITY OF REDWOOD CITY, a charter <br />city and icipal corporation of the State of California ("City"), and DATA INSTINCTS <br />of Windsor, California ("Consultant") (collectively, the "Parties"). <br />RECITALS <br />A. City requires the professional services of a consultant that is skilled and <br />experienced in the delivery of public information and outreach services specifically <br />related to design, construction and operation of recycled water facilities. Further, the <br />City requires the professional services of a consultant that is skilled and experienced in <br />technical and systems design and delivery of both Internet-based, public access <br />information systems and Intranet-based, multi-user "portal" for the purpose of enabling <br />effective project management. Knowledge of the Redwood City Recycled Water <br />Project, the work of the City Council's Community Task Force on Recycled Water and <br />the project team's internal information needs is of especially high importance. <br />B. Consultant has the necessary experience in providing professional <br />services and advice related to the Redwood City Recycled Water Project. <br />C. Selection of Consultant is based on previous work with Redwood City and <br />is expected to achieve the desired results in an expedited fashion -time is of the <br />essence. <br />D. Consultant has submitted a proposal to City and has affirmed its <br />willingness and ability to perform such work. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Scope of Work. City retains Consultant to perform, and Consultant agrees to <br />render, those services (the "Services") that are defined in attached Exhibit "A," which is <br />incorporated by this reference in accordance with this Agreement's terms and <br />conditions. <br />2. Standard of Performance. While performing the Services, Consultant will <br />exercise the reasonable professional care and skill customarily exercised by reputable <br />members of Consultant's profession practicing in the Metropolitan Northern California <br />Area, and will use reasonable diligence and best judgment while exercising its <br />professional skill and expertise. <br />Data Instincts Agreement <br />City Attorney Approved Version 111803 <br />Revised 7/12//2004 PCI <br />
