<br />ORIGINAL <br /> <br />AMENDMENT NO.3 TO EXTEND AND AMEND AGREEMENT FOR <br />PROFESSIONAL ENGINEERING SERVICES <br />(Kennedy/Jenks Consultants) <br /> <br />This agreement ("Amendment No.3") is made and entered into on this 2- day <br />of Ju ,2008, ("Effective Date") by and between the City of Redwood City, California, a <br />charte city and municipal corporation of the State of California, with its principal place <br />of business located at 1017 Middlefield Road, Redwood City, California 94063 ("City") <br />and Kennedy/Jenks Consultants, a California corporation with its principal place of <br />business located at 622 Folsom Street, San Francisco, CA 94107 ("Consultant") for the <br />Recycled Water Project - Customer Retrofit and Program Support Services. Consultant <br />and City may be referred to herein individually as a "Party" or collectively as the <br />"Parties." <br /> <br /> <br />RECITALS <br /> <br />A. The Parties previously entered into an agreement entitled "Agreement for <br />Professional Engineering Services Recycled Water Project - Customer Retrofit and <br />Program Support Services (Kennedy/Jenks Consultants)", dated September 3, 2004 <br />(the "Original Agreement"); and <br /> <br />B. The Original Agreement was previously amended by Amendment No.1, <br />dated September 20, 2005, Amendment No.2, dated February 14, 2008, and is again <br />amended by this Amendment No.3. The Original Agreement and all previous <br />amendments are collectively referred to herein as the "Original Agreement as <br />Amended"; and <br /> <br />C. The Parties desire to extend the Agreement's scope of work and services; <br /> <br />and <br /> <br />D. The Parties have negotiated and agreed to a supplemental scope of work <br />and fee schedule, which is attached to and incorporated herein by this reference as <br />Exhibit "A" - Scope of Services and Exhibit "B" - Schedule of Fees. <br /> <br />E. Upon approval of this Amendment No. 3 by the City Council, the not-to- <br />exceed authorization for this Agreement will increase by Eight Hundred Sixty-Two <br />Thousand Three Hundred Ninety One Dollars ($862,391) (from $1,640,400 to <br />$2,502,791 ). <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1.
