cumulative and in addition to all other rights and remedies which may accrue under this Agreement <br />17 Additional Actions to Implement Agreement <br />The parties acknowledge that it is impractical in a transaction of the nature set forth in this <br />Agreement to provide for or anticipate every action by County City or District that may be required to <br />fully implement the Agreement County City and District agree to cooperate in good faith and to take <br />any such additional actions that may be necessary to fully implement the Agreement <br />18 Time of the Essence <br />Time is of the essence in the performance of the terms and conditions ofthis Agreement <br />19 Successors <br />This Agreement shall be binding upon and shall inure to the benefit ofthe respective successors <br />or assigns of the parties hereto <br />20 Counterparts <br />This Agreement may be executed in counterparts each of which shall be deemed an original <br />21 Term and termination <br />This agreement shall remain in full force for ten 10 years from the date it is fully executed and <br />any or all parties participation may only be terminated by written agreement of all parties After <br />expiration of the ten 10 year term this Agreement shall be automatically extended for successive one <br />1 year periods unless any one of the parties delivers a notice in writing to the other two parties <br />indicating its intent to terminate the Agreement at the next following anniversary date of the Agreement <br />provided that no such termination notice shall be effective unless it is actually received by the receiving <br />parties at least one hundred eighty 180 days before the next succeeding anniversary date of the <br />Agreement <br />The only other instances in which one party may terminate its involvement are <br />a pursuant to the default provisions of this Agreement <br />9 <br />6.1.B. - Page 24
