Notices. <br /> <br />All written notices to be given hereunder shall be given by certified mail to the party <br />entitled thereto at its address set forth below, or at such other address as such party may <br />provide to the other party in writing from time to time namely: <br /> <br />If to the City: City of Redwood City <br /> 1017 Middlefield Road <br /> Redwood City, CA 94063 <br /> Attention: City Manager <br /> <br />If to the Authority: City of Redwood City Public Financing Authority <br /> 1017 Middlefield Road <br /> Redwood City, CA 94063 <br /> Attention: City Manager <br /> <br />If to the Trustee: U.S. Bank National Association <br /> One California Street, Suite 1000 <br /> San Francisco, California 94111 <br /> Attention: Global Corporate Trust Services <br /> <br />Section 8.11. Amendments. <br /> <br />This Installment Purchase Contract may be amended in writing as may be mutually <br />agreed by the City and the Authority, with the written consent of the Owners of a majority of the <br />aggregate principal evidenced by the Bonds then Outstanding; provided, however, that no such <br />amendment shall (i) extend the payment date of any Installment Payment or reduce the amount <br />of any Installment Payment, or the interest rate applicable thereto, without the prior written <br />consent of the Owner of each Bond so affected, (ii) reduce the percentage of Owners whose <br />consent is required for any amendment hereof without the prior written consent of the-Owners of <br />all Bonds then Outstanding, or (iii) amend this Section without the prior written consent of the <br />Owners of all Bonds then. Outstanding. <br /> <br />This Installment Purchase Contract and the rights and obligations of the City and the <br />Authority hereunder may also be amended or supplemented at any time by an amendment <br />hereof or supplement hereto which shall become binding upon execution by the City and the <br />Authority, without the written consents of any Owners, but only to the extent permitted by law <br />and only for any one or more of the following purposes: <br /> <br />(i) to add to the agreements, conditions, covenants and terms required by <br />the Authority or the City to be observed or performed herein other agreements, <br />conditions, covenants and terms thereafter to be observed or performed by the Authority <br />or the City, or to surrender any right or power reserved herein to or conferred herein on <br />the Authority or the City, and which in either case shall not materially adversely affect the <br />interests of the Owners; <br /> <br />(ii) to make such provisions for the purpose of curing any ambiguity or of <br />correcting, curing or supplementing any defective provision contained herein or in regard <br />to questions arising hereunder which the Authority or the City may deem desirable or <br />necessary and not inconsistent herewith, and which shall not materially adversely affect <br />the interests of the Owners; <br />8.C. - Page 188
