Revenue Code and regulations applicable to each organization as tax-exempt organizations. <br />Each will notify the other of any change in its tax-exempt status. <br />F. Resolving Problems. If there are any problems during the project, LASSMC and <br />the Partner will seek to resolve them through discussion including, as appropriate, interaction <br />between senior leaders of each organization. In addition, LASSMC may, in consultation with the <br />Steering Committee, withhold or decrease funds to the Partner if the Partner does not make <br />adequate progress towards its project goals or comply with any of the terms of this MOU, and <br />either party may terminate this MOU as provided in Section VIII. <br />G. Dispute Resolution; Governing Law. LASSMC and the Partner will seek to <br />resolve disputes arising out or relating to this Agreement through discussion. If that is not <br />successful, LASSMC and the Partner will resolve the dispute through binding arbitration in San <br />Francisco, California. This arbitration will be conducted under the Commercial Dispute <br />Resolution Procedures of the American Arbitration Association and under California law. The <br />arbitrator will have discretion to permit discovery and award reasonable expenses, including <br />attorneys' fees, to the prevailing party. The arbitrator's award may be entered as a judgment in <br />any court of competent jurisdiction. This MOU is governed by California law. <br />VII. COMPENSATION <br />LIBRE will pay Redwood City 2020 $4,000.00 for the services set forth above. Payment <br />shall be made as soon as the LIBRE budget is fully funded and after receipt of this MOU by the <br />Legal Aid Society of San Mateo County on behalf of LIBRE fully executed by the City of Redwood <br />City acting as fiscal agent for Redwood City 2020 and the Executive Director of Legal Aid Society <br />of San Mateo County on behalf of LIBRE. <br />Vill. TERMINATION <br />This MOU and any amendments thereof shall remain in effect until superseded by a later MOU <br />or terminated by either party by a written notice thirty (30) days prior to the effective <br />termination date. If this agreement is terminated before the activities described in the Project <br />Description are complete, the Partner must continue to spend any money it received from <br />LASSMC under this MOU on fulfilling the goals described in Section IV or return any unused <br />funds.
