2. Retrieval Services. City shall, by and through Contractor, provide the <br />following services for Participating Owner: <br /> <br /> (a) General. Contractor's general scope of services includes locating, identifying, <br /> retrieving, and returning to Participating Owner Abandoned Shopping Carts <br /> which are identified as belonging to Participating Owner. The following practices <br /> and procedures shall govern the services. <br /> <br /> (b) Daily Searches. Except for Holidays, Contractor shall provide daily searches of <br /> the Service Area for Abandoned Shopping Carts. Contractor shall perform said <br /> searches throughout the Service Area; provided, that said services shall not <br /> include the area shown in Exhibit "A" unless Participating Owner shall have <br /> notified City in writing of Participating Owner's election to include said area. <br /> <br /> (c) Receipt. Contractor shall obtain a receipt, signed by, or on behalf of, <br /> Participating Owner, listing the number of carts delivered to Participating Owner <br /> and the date of delivery. <br /> <br /> (d) LoRs. Contractor shall prepare and maintain retrieval logs conforming to the <br /> delivery of retrieved Abandoned Shopping Carts to Participating Owner. <br /> <br /> (e) Production Summaries. Contractor shall, using the information contained in the <br /> aforementioned logs, prepare and maintain periodic production summaries on a <br /> weekly and monthly basis, which shall include the number of Shopping Carts <br /> retrieved for, and returned to, Participating Owner each day, week, and month for <br /> the reporting period. <br /> <br /> (f) Special Retrieval. Contractor shall provide at no cost to City or Participating <br /> Owner an initial search of the Service Area and retrieve therefrom all abandoned <br /> Shopping Carts. Contractor shall deliver all such Carts so retrieved in <br /> accordance with the foregoing procedures, except for claiming compensation. <br /> The Special Retrieval herein provided shall not include area outside the City's <br /> corporate limits as shown in Exhibit "A." <br /> <br /> 3. Compensation. (a) Rate. Participating Owner shall compensate City for the <br />services rendered hereunder in an amount calculated upon the basis of Three and <br />50/100 Dollars ($3.50) per Abandoned Shopping Cart returned to Participating Owner <br />by Contractor. <br /> <br /> Notwithstanding the foregoing, if, during the term or renewal term of this <br />agreement the amount of compensation payable by City to Contractor under the <br /> <br />F:Atty2001 Shared/Redwood/Council/Agmt/Ag mt-519 ~ <br /> <br /> <br />
