ORIGINAL AMENDMENT NO. 1 TO EXTEND AND AMEND AGREEMENT FOR GENERAL SERVICES (Dewey Services, Inc.) This Amendment No. 1 is entered into and effective as of the 22 day of February 22, 2019, extending and amending the agreement dated February 22, 2017 (the "Agreement") by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Dewey Services, Inc., a California corporation ("Contractor") (collectively, the "Parties") for vector control services in sanitary sewers and creeks. RECITALS A. On February 22, 2017, the Parties executed a General Services Agreement with Contractor for vector control services in sanitary sewers and creeks; and B. Pursuant to Section 3 "Term of Performance", the Agreement would terminate after two years unless extended "in consecutive one-year terms at the discretion and approval of the City Manager" for up to five (5) additional years; and C. The City wishes to extend the Agreement for an additional one year term; and D. The Agreement provided for a payment not to exceed $126,955.00; and the parties have negotiated a fee for service for the additional one year term of $65,382.00, which represents a minor increase to the per year fee specified in the Agreement; and E. The services contracted for in this Amendment No.1 are the same services as previously contracted for except that adjustments have been made to dates and to the payment; and F. The Parties have negotiated and agreed to amendments attached to and incorporated in by reference as Exhibit "A," Scope of Services and Fee. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. In addition to those services contained in the Agreement, as may have been amended from time to time, Contractor will provide those services described in Exhibit "A." With this Amendment, the total Agreement amount shall not exceed one hundred ninety-two thousand, three hundred thirty-seven dollars ($192,337). 2. City will pay Contractor for all work associated with those services described in Exhibit "A" on a time and materials basis not -to -exceed sixty five thousand three hundred eighty-two dollars ($65,382), for an aggregate amount of one hundred REV: 12-19-18 PT Page 1 of 13 ATTY/AGR.Amend No. 1 /Dewey Services, Inc.
