AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES DEWEY SERVICES, INC. This Amendment No. 3 (the "Amendment No. 3") is entered into and effective as of February 22, 2021, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and Dewey Services, Inc., a California corporation ("Contractor") (collectively, the "Parties"). RF[_ITAI S A. The Parties previously executed that General Services Agreement, dated as of February 22, 2017 (the "Original Agreement"). B. The Parties previously executed Amendment No. 1 to the Original Agreement ("Amendment No. 1"), dated as of February 22, 2019. C. The Parties previously executed Amendment No. 2 to the Original Agreement ("Amendment No. 2"), dated as of February 3, 2020, (the "Original Agreement" and "Amendments No. 1 to 2" are collectively known as the "Agreement") D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit "A", incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Contractor will provide the additional services set forth in Exhibit "A", and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Contractor an amount not to exceed Sixty Five Thousand, Three Hundred Eighty -Two Dollars ($65,382) for the completion of all the services described in Exhibit "A", which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 3, the total amount payable under the Agreement will be an amount not to exceed Three Hundred Twenty - Three Thousand One Hundred One Dollars ($323,101). 3. Unless terminated earlier, the term of this Amendment will be a period of one year from the effective date of this Amendment. Including all amendments, through Amendment No. 3, the total term of this Agreement is five years from the Effective Date of this Agreement. 4. All other provisions of the Agreement will remain in full force and effect. 5.
