ORIGINAL <br />AMENDMENT NO.2 TO EXTEND AND AMEND PURCHASE AGREEMENT <br />R&B Company <br />This Amendment No. 2 is entered into and effective as of the 22"=qday of <br />rcBRwgr , 2019, extending and amending the agreement dated <br />February 22, 2017 (the "Agreement") by and between the City of Redwood City, a <br />charter city and municipal corporation of the State of California ("City"), and R&B <br />Company, ("Vendor") (collectively, the "Parties") for the purchase of water and sewer <br />utility system supplies. <br />RECITALS <br />A. On February 22, 2017, the Parties executed a Purchase Agreement for <br />the purchase of water and sewer utility system supplies; and <br />B. On June 15, 2018, the Parties executed Amendment No. 1 to the <br />Purchase Agreement; and <br />C. The Parties desire to extend the Agreement for a period of one year, and <br />have negotiated and agreed to amendments attached to and incorporated in by <br />reference as Exhibit "A," Scope of Services and Fee. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. That the Agreement, as may have been amended from time to time, is <br />hereby extended for a period of one year ending on February 22, 2020 and Vendor will <br />be paid a not to exceed amount of Four Hundred Thirty -Eight Thousand Five Hundred <br />Ninety -One Dollars ($438,591.00). With this Amendment, the total Agreement amount <br />shall not exceed One Million Two Hundred Fifty -Four Thousand One Hundred Twelve <br />Dollars and Forty -Three Cents ($1,254,112.43). The purchase price for the Goods and <br />Services shall be on a cost per material basis, as delineated in Exhibit "A." <br />2. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by the Vendor pursuant to <br />the Agreement, as may have been amended from time to time, will include coverage for <br />this Amendment. <br />4.
