ORIGINAL AMENDMENT NO. 3 TO PURCHASE AGREEMENT R&B Company This Amendment No. 3 (the "Amendment No. 3") is entered into and effective as of February 22, 2020, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and R&B Company ("Vendor") (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain Purchase Agreement for Goods, Commodities, and Services, dated as of February 22, 2017, (the "Original Agreement'). B. The Parties previously executed Amendment No. 1 to the Original Agreement ("Amendment No. 1"), dated as of June 15, 2018. C. The Parties then executed Amendment No. 2 to the Original Agreement ("Amendment No. 2"), dated as of February 22, 2019 (the Original Agreement and Amendments Nos. 1 and 2 are collectively known as the "Agreement'). D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3, including any terms and conditions of the attached Exhibit "A", incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Vendor a not -to -exceed amount of Four Hundred Sixty Thousand Five Hundred Twenty -One Dollars ($460,521) for the purchase of Goods and Services on a cost per material basis, as described in Exhibit "A", which sum will include all costs or expenses incurred by Vendor. Including all amendments through Amendment No. 3, the total amount payable under the Agreement will be a not -to -exceed amount of One Million Seven Hundred Fourteen Thousand Six Hundred Thirty -Three Dollars and Forty -Three Cents ($1,714,633.43). 2. Unless terminated earlier, the term of this Agreement will be a period of four years from the Effective Date, expiring February 22, 2021. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Vendor pursuant to the Agreement will include coverage for this Amendment. 5. The individuals executing this Amendment and the instruments referenced in it on behalf of Vendor each represent and warrant that they have the legal power, right and actual authority to bind Vendor to the terms and conditions of this Amendment.
