H;' Materi C lie 'on Servi.ces (" Agreement"), is made and entered into as of t1ïE' day of 004, by and between the Gty of Redwood Gty (" Agmcy"), a arter city and icipa corporation of the State of California, and BFI WASTE SYSTEMS OF NORTH AMERICA, Inc. ("Contractor") of San Mateo. RECIT ALS Whereas, Agency and Contractor entered into the Agreement, dated September 9, 1999 and effective January 1, 2000; and Whereas, on June 12, 2000, the Gty Council adopted an amendment to the Agreement (the "First Amendment") to expand the collection of plant materials to include service to non- residential properties; and Whereas, the Agreement anticipates that the Agency may request additional services or the modification of existing services there under; and Whereas, the Agreement provides that Agency may direct Contractor to submit proposals from time to time to provide additional or expanded services; and Whereas, the Agency is a Member Agency of the South Bayside Waste Management Authority (" Authority"), and the Authority, on beha1i of Agency, has requested a proposal from Conn'actor for a Comm,ercial Organics Collection Program; and Whereas, Contractor has prepared a proposal in response to the Authority's request; and VVhereas, Contractor and Agency now desire to amend the Agreement to incorporate the Commercial Organics Collection Program. NOW, THEREFORE, IT IS AGREED AS FOLLOWS: 1. Contractor shall implement the program to diverted conunerdal organic material from landfill disposal (hereinafter the "Commercial Organics Collection Program") consistent with Contractor's November 20, 2002 proposal (Attachment 1), and subsequent clarifications and revi<;ions dated: January 27, 2003 (Attachment 2); February 7, 2003 (Attachment 3); March 14, 2003 (Attachment 4); August 6, 2003 (Attachment 5); and August 13, 2003 (Attachment 6). Copies of the foregoing documents are on file with the Authority, the Gty Oerk of the Agency, and the Contractor. 2. 'TI,e Conu:nercial Organics ColIeclion Program shall commen.ce not later than October 1, 2004, and shall continue for the remaining term of the Agreement and any extension thereof.
