�• I � r � <br /> AGREEMENT N0. <br /> AGREEMENT BETWEEN <br /> FIRST 5 SAN MATEO COUNTY <br /> AND <br /> REDWOOD CITY 2020, through its Fiscal Agent, The City of Redwood City <br /> THIS AGREEMENT is entered into this July 1, 2004, by and between First 5 San Mateo County, hereinafter <br /> called "Commission," and Redwood City 2020, through its Fiscal Agent, The City of Redwood City, hereinafter called <br /> "Contractor." <br /> WITNESSETH: <br /> WHEREAS, pursuant to Health & Safery Code Section 130100 et seq., Commission may contract with <br /> independent contractors for the furnishing of such services to or for the Commission; and <br /> WHEREAS, the Exhibit A, Project Services, Exhibit B, Payments, Exhibit C, Non Discrimination declaration, and <br /> Exhibit D, Intellectual Property Protocol, are attached hereto and incorporated by reference herein; <br /> WHEREFORE, the Commission and Contractor agree as follows: <br /> 1. Services to be Performed <br /> In consideration of the payments hereinafter set forth in Exhibit B, attached hereto and incorporated by reference <br /> herein, Contractor under the general direction of the Executive Director of the Commission, or his/her authorized <br /> representative, with respect to the product or result of Contractor's services, shall perform services as described <br /> in Exhibit A, attached hereto and incorporated by reference herein, which includes: providing support to ensure <br /> preschool quality at Redwood City School District (RCSD) preschools and offer family support services designed <br /> to support the early school success of neighborhood children ages 0 to 5. Contractor shall ensure compliance <br /> with all state, federal and local laws or rules applicable to performance of the work required under this contract. <br /> Exhibits A and B and their attachments reflect the scope of work and budget for the first year of the contract July <br /> 1, 2004 to June 30, 2005. It is understood and agreed that Contractor will submit an updated scope of work and <br /> budget for the succeeding year by June 15, 2005, and receive approval from the Executive Director of the <br /> Commission or his/her designee, after consultation with the Chair of the Commission, prior to commencing the <br /> second year provided, however, that there shall be no change in the maximum amount payable under this <br /> Agreement. It is anticipated that the scope of work and budget will be amended, with approval of the Executive <br /> Director of the Commission or his/her designee, upon review of the prior year's progress reports, however there <br /> shall be no change in the maximum amount payable under this Agreement. <br /> 2. Contract Term <br /> The term of this Agreement shall be from July 1, 2004 to June 30, 2007, subject to the termination provisions <br /> noted in paragraph 11, and subject further to the agreement provided for in paragraphs 3.0 and 15, that there are <br /> reports due followed by final payment and evaluation required which occur after June 30, 2007. Contractor further <br /> agrees that the requirements of this Agreement pertaining to indemnity in paragraph 5, records in paragraph 12, <br /> and intellectual property in paragraph 13, including Exhibit D, shall survive the termination of this Agreement. <br /> 3. Pavments <br /> A. Maximum Amount . In full consideration of Contractor's performance of the services described in Exhibit <br /> A, the amount that the Commission shall be obligated to pay for services rendered under this Agreement <br /> shall not exceed SIX HUNDRED FIFTY-SIX THOUSAND, FIVE HUNDRED AND THIRTY-EIGHT DOLLARS <br /> ($656,538) for the term as follows: Year 1-$217,372 (July 1, 2004 — June 30, 2005); Year 2-$219,498 <br /> (July 1, 2005 — June 30, 2006) Year 3-$219,668 (July 1, 2006 — June 30, 2007). <br /> B. Rate of Pavment. The rate of payment shall be as specified in Exhibit B. Each payment shall be <br /> conditioned on the performance of the senrices described in Exhibit A to the full satisfaction of the Executive <br /> Director, on behalf of the Commission. In the event that the Commission makes any advance payments, <br /> Contractor agrees to refund any amounts in excess of the amount owed by the Commission at the time of <br /> contract termination. <br /> Distribution: 1 copy each: Contractor, Commission, Controller 6/28/04 Page 1 <br />
