on the Property pursuant to this License. Licensee's use of the Property pursuant to <br />this License is a benefit to Licensor in that it promotes public use of the Property in <br />conformity with the purposes of the Central Business District as set forth in Article 26 of <br />the Redwood City Zoning Code and Chapter 33A, Article II, Use of the Broadway Mall, <br />as set forth in the Redwood City Municipal Code. <br /> <br /> 4. Improvements. All improvements undertaken pursuant to this License will <br />be at Licensee's sole expense and Licensee will be responsible for the use and care of <br />the Improvements. <br /> <br /> 5. Permits, Regulations and Approvals. Licensee will be responsible for <br />securing and complying with all necessary permits, regulations or approvals from all <br />local, state or federal agencies to use the Property for restaurant/cafe purposes. <br /> <br /> 6. Holdover. If, upon expiration or revocation of this License, Licensee <br />remains on the Property, Licensor may remove any of the Improvements placed upon <br />the Property by Licensee without written notice to Licensee. Licensee waives all claims <br />against Licensor for any loss of revenue or damage to the Improvements resulting from <br />Licensor's retention or disposition of any of the Improvements. Licensee is liable to <br />Licensor for Licensor's costs for storing, removing, or disposing of any of the <br />Improvements. <br /> <br /> 7. Non-Interference with Licensor's Use of the Property. Licensee will <br />exercise due diligence in utilizing the Property so as to not interfere with Licensor's <br />utilization of the Property, and Licensee will comply with any rules or regulations that <br />Licensor may promulgate at any time in reference to utilization of the Property. <br />Licensor reserves the right to direct, at Licensee's sole cost and expense, Licensee to <br />move, and/or remove from the property, all or some of the Improvements upon forty- <br />eight (48) hours notice. Licensee's failure to comply with Licensor's direction pursuant <br />to this Section may result in the revocation of this License pursuant to Section Fourteen <br />(14). <br /> <br /> 8. Indemnification. Licensee waives all claims against Licensor and/or the <br />City of Redwood City Redevelopment Agency, their agents, officers or employees for <br />any damages to the Improvements in, upon or about the Property and for injuries to any <br />employees of Licensee or their agents in or about the Property from any cause arising <br />at any time, and Licensee will hold Licensor and/or the City of Redwood City <br />Redevelopment Agency, their agents, officers or employees exempt and harmless from <br />any damage or injury to any person, or any property, arising from the use of the <br />Property by Licensee, or from the failure of Licensee to keep the Improvements in good <br />condition and repair. <br /> <br /> Licensee's indemnification will include any and all costs, expenses, <br />attorneys fees and liability incurred by Licensor or the City of Redwood City <br />Redevelopment Agency, their officers, agents, or employees in defending against such <br /> <br />F:Atty/Agr.008 <br />013102 <br /> <br /> <br />
