(b) Providing that Licensee's insurance shall apply separately to each insured <br /> against whom claim is made or suit is brought, except with respect to the <br /> limits of the insurer's liability (cross liability endorsement); <br /> <br /> (c) Naming Licensor and the City of Redwood City Redevelopment Agency, <br /> their officers, boards, commissions, employees, and agents, as additional <br /> insureds; and <br /> <br /> (d) Providing that Licensee's insurance coverage shall be primary insurance <br /> with respect to Licensor and the City of Redwood City Redevelopment <br /> Agency, their officers, boards, commissions, employees, and agents, and <br /> any insurance or self-insurance maintained by Licensor or the City of <br /> Redwood City Redevelopment Agency for themselves, their officers, <br /> boards, commissions, employees, or agents shall be in excess of <br /> Licensee's insurance and not contributory with it. <br /> <br /> If Licensee fails to maintain any of the insurance coverage required herein, then <br />Licensor will have the option to revoke this License, or may purchase replacement <br />insurance or pay the premiums that are due on existing policies in order that the <br />required coverage may be maintained. Licensee is responsible for any payments made <br />by Licensor to obtain or maintain such insurance and Licensor may collect the same <br />from Licensee or deduct the amount paid from any sums due Licensee under this <br />License. <br /> <br /> 11. Hazardous Materials. Licensee agrees that it will not use, generate, store <br />or dispose of any hazardous material on, under, about or within the Property in violation <br />of any law or regulation. Hazardous materials includes, but is not limited to, any <br />substance known by the State of California to cause cancer and/or reproductive toxicity, <br />and/or any substance, chemical or waste which is identified as hazardous, toxic or <br />dangerous in any applicable federal, state or local law or regulation. In the event of a <br />breach of this provision, Licensor may revoke this License immediately and pursue any <br />remedies to which it is entitled by law. <br /> <br /> 12. Assignment. Licensee understands and acknowledges that assignment, <br />sublicensing or transfer of this License is absolutely prohibited without the written <br />consent of Licensor, and any attempt to do so without Licensor's written consent may <br />result in a revocation of the License at the will of Licensor. <br /> <br /> 13. Reservation of Riqhts. Licensor reserves the right to enter into <br />agreements with other parties, for use of the Property. <br /> <br /> 14. Revocation of License. Licensee understands and agrees that this <br />License may be revoked at any time if Licensor determines, for any reason, that the <br />License is not in the best interest of Licensor, notwithstanding any investment of <br />Licensee in improving the Property for its use.
