<br />ORIGINAL <br /> <br />AMENDMENT NO.2 TO CABLE SYSTEM FRANCHISE AGREEMENT BETWEEN <br />THE CITY OF REDWOOD CITY AND ASTOUND BROADBAND, LLC <br />(FORMERLY RCN TELECOM SERVICES, INC) <br /> <br />This Amendment NO.2 is entered into as of the .231~day of OC\-Jl4w , <br />2007, amending the franchise agreement dated August 28, 2000, which was first <br />amended on or about September 13, 2004, (the "Franchise Agreement") by and <br />between the City of Redwood City, a charter city and municipal corporation ("City"), and <br />Astound Broadband, LLC ("Astound"), (collectively, the "Parties"). <br /> <br />1. Exhibit C., Section 3 (e) of the Franchise Agreement is hereby amended <br />in its entirety to read as follows: <br /> <br />(e). Grantor shall not oppose the inclusion on Subscriber's bills of the <br />Access grants provided above, so long as said inclusion is done in a manner <br />consistent with the provisions of Federal and State law and regulation. Any <br />notice to Subscribers detailing information regarding these grants shall be <br />subject to prior Grantor review and approval. <br /> <br />2.
