have the right to terminate this Agreement and exercise its right of <br />reversion under the conveyance of title to the School Site, and take <br />full and exclusive possession of the school site and the improvements <br />thereon, including he multi-purpose room/community center. If City <br />determines that the improvements constructed on the School Site <br />(excluding the multi-purpose room/community center) are not required for <br />City purposes, City may raze and remove said improvements at District's <br />cost and expense. <br />Upon taking possession, City shall pay District the fair <br />market value prevailing at the time of possession of District's <br />proportionate share of the multi-purpose room/community center. In the <br />event City razes and removes the other structures upon the School Site, <br />District may offset the costs and expenses of such razing and removal by <br />an amount equal to the then prevailing fair market value of District's <br />proportionate share of the multi-purpose room/community center. <br />City and District shall cooperate in establishing a fair and <br />impartial process for determining the fair market valine of the multi- <br />purpose/community center and/or the cost of razing school improvements <br />if either activity is undertaken pursuant to this paragraph. <br />e. City's remedies hereunder in the Event of Default shall be <br />cumulative and in addition to all other rights and remedies which may <br />accrue to City under this Agreement. <br />31.
