ATTY/AGR/2017/AMENDMENTS/AMEND NO. 1 TO AGR FOR RELOCATION ASSISTANCE CONSULTANT SERVICES-OVERLAND <br />PACIFIC <br />REV: 03-21-17 RL <br />Page 1 of 2 <br />FIRST AMENDMENT TO AGREEMENT FOR RELOCATION <br />ASSISTANCE CONSULTANT SERVICES <br />This First Amendment to Agreement for Relocation Assistance Consultant Services ("First <br />Amendment") is made and entered into this _____________ day of March 2017, by and between <br />the City of Redwood City, a California municipal corporation ("City") and Overland Pacific & <br />Cutler, Inc., a ______________ (“Consultant”). <br />RECITALS <br />WHEREAS, on August 10, 2016, City and Consultant entered into that certain Agreement <br />for Relocation Assistance Consultant Services (“Agreement”) for Consultant to provide relocation <br />services related to the Docktown Plan, as more particularly described in the Agreement; and <br />WHEREAS, City and Consultant now desire to enter into this First Amendment to clarify <br />ownership of materials and documents. <br />AGREEMENT <br />NOW, THEREFORE, for the considerations hereinafter set forth, the parties hereby amend <br />the Agreement as follows: <br /> 1. Section 7 of the Agreement, is hereby amended to read in its entirety as follows: <br />7. Ownership of Materials and Documents. Any reports and other material and/or <br />documents prepared by or on behalf of Consultant or received by Consultant under <br />this Agreement (collectively, the "Documents") shall be and remain the property of <br />Consultant. Ownership of intellectual property in any drawings, documents, <br />information, samples, models, patterns, or any other tangible or intangible thing <br />existing prior to the date of execution of the Agreement (“Prior Intellectual Property”) <br />or intellectual property created or developed other than in connection with the Services <br />(“Other Intellectual Property”) and any developments or improvements to that Prior <br />Intellectual Property or Other Intellectual Property remains with Consultant. <br /> 2. Except as amended by this First Amendment, all remaining terms and obligations set forth <br />in the Agreement shall remain in full force and effect. <br /> 3. All obligations and terms contemplated in this First Amendment shall be deemed effective <br />as of August 10, 2016. <br /> 4. This First Amendment may be signed in multiple counterparts which, when signed by all <br />parties, shall constitute a binding agreement. <br /> <br /> <br />6.1.C. - Page 3
