Mallhie <br />County Manager/ <br />Clerk of the Board <br />County Government Center <br />400 County Center, 1st Floor <br />Redwood City, CA 94063 <br />650-363-4121 T <br />650-363-1916 F <br />wvr&.smcgov.org <br />The County of San Mateo ("County") hereby consents to the City of Redwood City's ("City") <br />December 19, 2016 request for a rescission of the June 26, 2007 Partial Assignment <br />Agreement (the "Partial Assignment") between the City and the Successor Agency to the <br />Redwood City Redevelopment Agency ("Successor Agency"). <br />As the City is aware, pursuant to the May 3, 2005 Cooperative Agreement between the <br />County and the City (approved by Resolution No. 067288 and recorded May 23, 2005), the <br />County assigned certain easement rights to the City regarding four concession spaces at <br />the Courthouse Square. The May 3, 2005 agreement as amended by the First Amendment <br />thereto dated August 24, 2006 is hereby referenced collectively as the "Cooperative <br />Agreement." Subsequently, in 2007, the City expressed a desire to assign certain rights <br />under the Cooperative Agreement to its Redevelopment Agency ("RDA'). The County <br />consented to such assignment by letter dated May 15, 2007, and the City and its RDA then <br />executed the above -referenced Partial Assignment. <br />Following the dissolution of the Redwood City Redevelopment Agency pursuant to ABx1 26 <br />(2011), the City and Successor Agency now desire to rescind their June 26, 2007 Partial <br />Assignment. The requested rescission is consistent with the original intent of the County <br />and City's Cooperative Agreement and the County hereby consents to such rescission. <br />This consent does not in any way relieve the City, or any person or entity claiming under or <br />through the City from performing those obligations set forth in the Cooperative Agreement, <br />or from compliance with the terms, covenants, and conditions of the Cooperative <br />Agreement, including but not limited to, the delivery of any documents or recordable <br />instruments required by such assignment. <br />Respectfully, <br />Q)� ap)D <br />Mike Callagy <br />Assistant County Manager <br />
