SECTION 28 QUIET ENJOYMENT
<br />City covenants and agrees that District, upon paying the Rent and all other charges under this Lease and observing
<br />and keeping all covenants, agreements and conditions of this Lease on its part to be observed and kept, shall have
<br />quiet enjoyment of the Premises during the term of this Lease without hindrance or molestation by anyone claiming
<br />by or through City, subject, however, to the exceptions, reservations and conditions of this Lease, including, without
<br />limitation, Section 4.
<br />SECTION 29 GENERAL PROVISIONS
<br />29.1 Construction of Laneuaee. In all cases the language in all parts of this Lease shall be construed according
<br />to its fair meaning and not strictly for or against City or District.
<br />29.2 Captions. The word titles contained herein are inserted solely for convenience and under circumstances are
<br />they or any of them to be treated or construed as any part of this instrument.
<br />29.3 Successors and Assiens. Subject to the provisions hereof, this Lease shall be binding upon and shall inure
<br />to the benefit of the Parties hereto and their respective successors and assigns, and wherever a reference in this Lease
<br />is made to either of the Parties hereto such reference shall be deemed to include, wherever applicable, also a reference
<br />to the successors and assigns of such Party, as if in every case so expressed.
<br />29.4 Partnership Disclaimer. The relationship of the Parties hereto is that of City and District, and it is expressly
<br />understood and agreed that City does not as a result of [his Lease in any way nor for any purpose become a partner of
<br />District or ajoint venturer with District in the conduct of District's business or otherwise. This Lease is not intended
<br />to, and shall not be construed to, create the relationship of agent, servant, employee, partnership, joint venture, or
<br />association as between City and District.
<br />29.5 Additional Actions to Implement Lease. The Parties acknowledge that it is impractical in a transaction of
<br />this nature to provide for, or anticipate, every action by City or District that may be required to fully implement the
<br />Agreement. City and District Agree to cooperate in good faith and to take any additional actions that may be necessary
<br />to fully implement the Agreement.
<br />29.6 Non -Discrimination. There shall be no discrimination against or segregation of any person or group of
<br />persons on account of age, race, color, creed, religion, sex/gender, sexual orientation, mental disability, physical
<br />disability, medical condition, political beliefs, organizational affiliations, marital status, national origin or ancestry in
<br />the leasing, subleasing, transferring, use, occupancy, operation, tenure, or enjoyment of the New Project.
<br />29.7 Mutual Consent. Notwithstanding any terms herein contained to the contrary, this Lease may be terminated
<br />and the provisions, covenants and conditions of the Lease may be altered, changed, or amended by mutual written
<br />consent of the Parties hereto.
<br />29.5 Mereer Clause Amendments. This Lease, including the Exhibits and Attachments attached to this Lease,
<br />constitutes the sole agreement of the parties to this Lease and correctly states the rights, duties, and obligations of each
<br />party as of this document's date. In the event that any term, condition, provision, requirement, or specification set
<br />forth in the body of this Lease conflicts with or is inconsistent with any term, condition, provision, requirement, or
<br />specification in any Exhibit and/or Attachment to this Lease, the provisions of the body of the Lease shall prevail. In
<br />the event that any term, condition, provision, requirement, or specification set forth in the body of this Lease conflicts
<br />with or is inconsistent with any term, condition, provision, requirement, or specification in the Joint Use Agreement,
<br />as amended from time to time, the provisions of the Lease shall prevail. Any prior agreement, promises, negotiations,
<br />or representations between the parties not expressly stated in this document are not binding. All subsequent
<br />modifications or amendments shall be in writing and signed by the parties.
