The parties shall provide notice in writing of any. change in address. <br />25. Entire Agreement. <br />This Agreement constitutes the entire agreement of the parties with <br />respect to the subject matter hereof, and supersedes any prior and or <br />written understanding on the same subject. <br />26. Snteorated Agreement. <br />This Agreement is an integrated agreement consisting of (1) an <br />agreement for joint use of the entire joint use site excluding the <br />School Facilities, and (2) exclusive use by District of the School <br />Facilities. In the event that use of the School Facilities by the <br />District under the terms of this Agreement shall terminate, the entire <br />Joint Use Agreement shall terminate. <br />27. Resolution of Disputes. <br />If a dispute arises out of or relates to this Agreement, or the <br />breach thereof, the parties shall endeavor to settle the dispute through <br />direct discussions. If the dispute cannot be settled through <br />discussions, the parties agree to first try, in good faith, to resolve <br />the dispute by mediation before, and as a condition precedent to, the <br />initiation of any adjudicative action or proceeding, including binding <br />arbitration or court action. If, during the mediation, a party <br />(hereinafter referred to as "Offering Party") makes a written offer of <br />compromise to the other party which is not accepted by said party <br />(hereinafter referred to as "Refusing Party") and the Refusing Party <br />fails to obtain a more favorable judgment or award, the Refusing Party <br />shall pay the offering Party all costs and expenses, including <br />reasonable attorney's fees, incurred from the time the offer is refused <br />22 <br />ATTY/AGR/2017/AMENDMENTS/AMEND NO. 1 TO JOINT USE AGREEMENT- SANDPIPER <br />REV: 03-02-17 JS Page 29 of 42 <br />
