SCOPE OF SERVICES <br />During the Agreement term, Coelo shall provide the Software Application and render <br />the following services in support of the Software Application and License, subject to the <br />compensation fixed for each type of service in Coelo's rate schedule. <br />1. Software Application: <br />2. Coelo will provide the City with the Code3Simulator software product which <br />includes computer software and, as applicable, associated media, printed materials, <br />and "online" or electronic documentation (the "Software Application"). <br />3. Coelo grants the City a non-exclusive, non -transferable, perpetual, limited license <br />to use the Software Application only for City's governmental agency under the following <br />terms. <br />4. Use on a computers. City has the right to obtain an unlimited number of licenses <br />to an unlimited number of copies of the Software Application only for City's internal use <br />by City's employees on computers under the control of the City. City is responsible for <br />installing the Software Application on computers and equipment that comply with Coelo <br />specifications and documentation. <br />5. Standard Software Support Services: in consideration of the annual support fee <br />paid by City, Coelo shall provide the standard software support services enumerated <br />below for the period of one year commencing on the date the Software Application is <br />first operational for the benefit of the City. <br />6. Coelo shall maintain an online electronic forum and provide telephone support <br />access during its normal business hours that allows City to report system problems and <br />to seek assistance in use of the Software Application. <br />7. Coelo shall maintain a trained staff capable of rendering the services set forth in <br />this Agreement. <br />8. Coelo shall not be responsible for correcting Errors in any version of the Software <br />Application other than the most recent Release of the Software Application. <br />9. Coelo may, from time to time, issue new Releases of the Software Application to <br />its City generally, containing Error Corrections, minor Enhancements, and, in certain <br />instances if Coelo so elects, major Enhancements. Coelo shall make such new <br />Releases available to City, without additional charge. <br />10. Coelo may, from time to time, offer major Enhancements to its customers <br />generally, specifically including City, for an additional charge. <br />11. Supplemental Services: <br />a. Coelo shall consider and evaluate the development of Enhancements for <br />the specific use of City and shall respond to City's requests for additional services <br />pertaining to the Software Application (including, without limitation, data conversion, <br />report -formatting assistance and consultation regarding data analysis and subject <br />ATW/AGR/2015.023/COELO — Code3Stimulator - FD <br />REV: 02-04-15 VR <br />Page 12 of 34 <br />
