EXHIBIT "B" <br />COMPENSATION <br />(Software License Option) <br />Item Description <br />1 Code3Simulator 2.5 software enterprise license, valid for simulating <br />up to 10,000 events annually, within a 30 mile radius of City's <br />headquarters, for the sole use of authorized employees and agents <br />of City. License price includes 24 hours of training at Coelo's <br />premises, software installation media or download and current <br />documentation. Software sale, installation and use are subject to a <br />separate Software License Agreement attached to this proposal. <br />2 Code3Simulator software annual support package, entitling City to <br />online and telephone technical support, periodic maintenance <br />software releases and standard product software upgrades, as <br />governed by the separate Software Support Agreement attached to <br />this proposal. <br />3 Code3Simulator user training, 24 hours, for up to six users, per <br />Training Syllabus attached to this proposal. <br />• Option A: Training to be delivered at Coelo's offices in Corvallis, <br />Oregon. Travel and lodging expenses are City's responsibility. <br />• Option B: Training to be delivered at a suitable location <br />specified by City. Travel and lodging expenses shall be <br />reimbursed by City, without markup, subject to prior approval <br />and mutually agreed not -to -exceed limits. <br />4 Data conversion services necessary to import City's incident, <br />geographic and operational data (one source format), supplied <br />according to the Data Specification attached to this proposal. <br />Data not conforming to the Data Specification will result in <br />additional charges. <br />5 Additional services as detailed in Attachment A to this Proposal. <br />Total of charges <br />Price <br />$12,540.00 <br />$3,760.00 <br />Option A: included <br />in above <br />Option B: Actual <br />expense <br />reimbursement, <br />not to exceed <br />$1,800.00 <br />Included in above <br />Not anticipated <br />$18,100.00 <br />Coelo guarantees incremental pricing for additional call volume purchase at current rates, as <br />of the date of this Agreement, for one year subsequent to this Agreement. For example, <br />upgrading to a license for annual call volume up to 12,000 incidents annually shall be <br />guaranteed to result in incremental charges of not more than $2,750.00 (incremental license <br />and support charges), within one year of this Agreement.
