October 24, 2017 <br />City of Redwood City <br />1017 Middlefield Road <br />Redwood City, CA 94063 <br />Attn: Melissa Stevenson Diaz, City Manager <br />Re: Consent to Assignment <br />Dear Ms. Diaz: <br />Reference is made to the Agreement for Professional Services dated April 30, 2015 and <br />Statement of Work RCF_B002 dated September 16, 2016, as well as any and all valid Amendments <br />subsequently executed thereto (collectively, the "Agreements"), between Coelo Company of Design <br />(Coelo) and the City of Redwood City (Customer). This letter requests your consent to an assignment of <br />the Agreements by Coelo in connection with a transfer of certain assets to Levrum, Inc., an Oregon <br />corporation ("Levrum"). Coelo will assign its rights, obligations and liabilities under the Agreements to <br />Levrum and Levrum will perform, be bound by and be liable for, all obligations of Coelo under the <br />Agreements as indicated by the signature below. Addresses for notice and service for Levrum are given <br />below. <br />By executing the acknowledgment below, Customer hereby consents to the assignment of the <br />Agreements described above, as of the closing of such transfer of assets. Please acknowledge your <br />consent to the foregoing by executing this letter where indicated below and emailing me a signed copy at <br />cdn@coelo.com.
