They in no way restrict or limit the contents or terms of this Agreement. <br />22.8 In the event that any one or more of the provisions of this Agreement shall <br />for any reason be held to be invalid or unenforceable, the remaining provisions of this <br />Agreement shall be unimpaired, and shall remain in effect and be binding upon the parties. <br />22.9 This Agreement is subject and subordinate to all existing and future liens <br />evidencing Licensor's financing. Upon demand by Licensor, Licensee shall execute and deliver <br />to Licensor such further instruments, as may be reasonably required by Licensor, confirming the <br />subordination this Agreement to the interest of any lender or mortgagee. If requested by <br />Licensee, Licensor will use reasonable efforts, but shall in no way be obligated, to obtain a non- <br />disturbance agreement from any future lender or mortgagee. <br />22.10 The failure of either party to enforce or insist upon compliance with any of <br />the terms or conditions of this Agreement, the waiver of any term or condition of this <br />Agreement, or the granting of an extension of time for performance, shall not constitute the <br />permanent waiver of any term or condition of this Agreement, and this Agreement and each of <br />its provisions shall remain at all times in full force and effect until modified by the parties in <br />writing. <br />[No further text; signatures on following page] <br />Page 10 of 13 <br />REV: 04-27-17 PR <br />ATTYfAGR.2017.088lKilroy Realty <br />
