ORIGINAL <br />LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY <br />AND <br />RWC HARBOR COMMUNITIES, <br />LLC <br />THIS LICENSE AGREEMENT ("Agreement') is entered into as of the ) of <br />2017 (the "Effective Date"), by and between THE CITY OF REDWOOD CITY, a <br />c ah rter city and municipal corporation of the State of California ("CITY"), and RWC Harbor <br />Commrnities, LLC, a Delaware limited liability company ("LICENSEE") <br />RECITALS <br />A. By virtue of a grant from the State Lands Commission, CITY owns certain real property <br />of approximately 390 square feet located at 1 Uccelli Boulevard, Redwood City, <br />California, as shown in the Plat and Legal Description attached hereto as Exhibit A (Legal <br />Description) and Exhibit B (Plat Map) and incorporated herein by reference (the "City <br />Property"). <br />B. LICENSEE is the owner of adjoining lands that are being improved with a residential <br />development commonly known as the "Blu Harbor Project', located at I Uccelli <br />Boulevard, Redwood City, California. <br />C. LICENSEE, as a condition of approval by the City and the San Francisco Bay <br />Conservation and Development Commission ("BCDC") for the Blu Harbor Project, is <br />required to provide public access to the San Francisco Bay waterfront and related public <br />amenities and open space in the form of a public access trail, which trail will encircle <br />the Blu Harbor Project as shown as the Public Access Easement (PAE) in the Final Map <br />attached hereto as Exhibit C (the "Public Access Trail"). <br />D. In order to fully encircle the Blu Harbor Project and provide the contemplated public <br />access, the Public Access Trail must traverse the City Property. <br />E. CITY has determined that the Public Access Trail provides a common benefit to the <br />community and that it is in the best interests of CITY to allow LICENSEE to access the City <br />Property for the purpose of constructing and maintaining the Public Access Trail and any <br />utilities or improvements necessary for completion of the Blu Harbor Project. <br />F. CITY is willing to provide to LICENSEE a license to use the City Property for the purpose <br />of constructing and maintaining the Public Access Trail and any utilities or other <br />improvements necessary for completion of the Blu Harbor Project. <br />Page 1 of 17 <br />REV: 05-01-1715 <br />ATN/AGR/2017.074/BLU HARBOR LICENSE AGREEMENT <br />
