Base Document <br />5.8 Redwood City shall comply with all applicable Federal, State, and local laws, rules, <br />regulations, ordinances, and directives, now existing and as such may change <br />from time -to -time. Any such laws, rules, regulations, ordinances, and directives <br />required thereby to be included in this Local Project Sponsor Agreement are <br />incorporated herein by reference. <br />5.9 Redwood City shall procure and submit proof of insurance coverage in <br />compliance with the requirements of Attachment 2 or as approved in writing by <br />ABAG. <br />5.10 Redwood City will appoint a representative to the LPS Committee who will <br />participate in the proceedings of the LPS Committee. Redwood City <br />acknowledges and affirms the responsibilities of the LPS Committee and agrees to <br />be bound by the decisions of the LPS Committee. <br />5.11 If, pursuant to section 4.5, the LPS Committee determines that there are <br />exceedances in the Grant Administrative Costs, Redwood City will not be <br />obligated to pay more than Four Thousand Two Hundred Fifty-six Dollars and <br />Twenty-five Cents ($4256.25) as its allocated share of exceedances in Grant <br />Administrative Costs. <br />5.12 Redwood City further acknowledges and affirms that every other Participating <br />Agency is a third party beneficiary of this Local Project Sponsor Agreement and <br />Redwood City is a third party beneficiary of every other Local Project Sponsor <br />Agreement. <br />6.0 Indemnification <br />6.1 Redwood City shall indemnify, defend, and hold harmless the other Local Project <br />Sponsors and ABAG and their respective members, elected and appointed <br />officers, employees, and agents from and against any and all liability resulting <br />from Redwood City's acts) and/or omission(s) arising from and/or relating to the <br />Project, and as such would be imposed in the absence of Government Code <br />section 895.2. <br />6.2 ABAG shall indemnify, defend, and hold harmless Redwood City and its elected <br />and appointed officers, employees, and agents from and against any and all <br />liability resulting from ABAG's act(s) and/or omission(s) arising from and/or <br />relating to the ABAG Projects, and as such would be imposed in the absence of <br />Government Code section 895.2. <br />6.3 Without limiting the scope of subsections 6.1 or 6.2, such liability includes but is <br />not limited to the following: any funding disallowance; audits; demands; claims; <br />actions; liabilities; damages; fines; fees, costs, and expenses, including attorney, <br />auditor, and/or expert witness fees. <br />DWR Prop 84 - Local Project Sponsor Agreement- IRWM 2- Redwood City- OWP 102244 <br />5of16 <br />
